VS1 Terms of Use

1.0 Introduction and Acceptance of the Agreement
1.1 Binding Agreement
These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you”) and the operators of the VS1 platform (“VS1,” “we,” “us”). By accessing, browsing, or using the website located at vs1.finance, and any associated services, tools, or features (collectively, the “Interface”), you acknowledge that you have read, understood, and unconditionally agree to be bound by these Terms.
If you do not agree with any provision of these Terms, you are not permitted to access or use the Interface. Use of the Interface is equivalent to full and unconditional acceptance of these Terms. This approach, where use of the service signifies a contract of adhesion, is standard practice for decentralized platforms operating with a global and anonymous user base, which precludes individual negotiation of terms and ensures a uniform and predictable legal framework for all users.
1.2 Definitions
- Interface: The software web interface located at vs1.finance, providing access to protocols on the XRP Ledger blockchain.
- Services: The set of functions provided through the Interface, including, but not limited to, the decentralized exchange (DEX) functionality, the AI Assistant, and the portfolio dashboard.
- XRPL: The XRP Ledger, a public, decentralized, open-source blockchain.
- Non-Custodial Wallet: A software or hardware wallet for cryptocurrencies where the private keys are stored and controlled exclusively by the user, not by a third party.
- AI Assistant: An artificial intelligence-based tool integrated into the Interface that provides analytical information and market data.
- XUMM Wallet: A third-party non-custodial wallet for interacting with the XRPL, which is used to connect to the Interface.
1.3 User Requirements
To access and use the Interface, you must meet the following criteria:
- Age: You must be at least 18 years old or have reached the age of majority in your jurisdiction, whichever is greater.
- Legal Capacity: You must have the full right, power, and capacity to enter into and comply with these Terms on your own behalf.
- Geographic and Sanctions Restrictions: You must not be a resident or citizen of a jurisdiction where access to or use of such services is prohibited by law. You also confirm that you are not included in any sanctions lists maintained by the Office of Foreign Assets Control (OFAC) or other government authorities. The use of any technology to circumvent these restrictions, including but not limited to VPNs, is strictly prohibited.
1.4 Amendments
We reserve the right, at our sole discretion, to modify or supplement these Terms at any time. All changes will be communicated by posting an updated version of the Terms on the Interface with the date of the last update. It is your responsibility to periodically check the Terms for changes. Your continued use of the Interface after such changes take effect constitutes your full agreement with the updated Terms.
2.0 Description of VS1 Services
2.1 The VS1 Interface
VS1 provides a free, publicly accessible, non-custodial software interface that serves exclusively as a tool for interacting with decentralized protocols deployed on the XRP Ledger blockchain. It is important to understand that VS1 is not a financial institution, exchange, broker, or custodian. We do not store, control, or manage your digital assets. All assets remain under your full and sole control in your non-custodial wallet. Our role is analogous to that of a software provider who creates a tool but does not participate in the actions users perform with it.
2.2 DEX Functionality (Swap and Limit Orders)
The Interface provides access to the functionality of a decentralized exchange (DEX) on the XRPL, allowing users to swap tokens and place limit orders. When performing these operations, you are interacting directly with the respective smart contracts and liquidity pools on the XRPL, not with VS1. VS1 is not a party or counterparty to any transaction, does not provide liquidity, does not guarantee the execution of orders, and is not responsible for the results of your trading operations.
2.3 AI Assistant
The AI Assistant is an informational tool designed to provide market context, analytical data, and insights based on the analysis of publicly available on-chain information and other market sources. Its purpose is to provide users with additional data for their own analysis and decision-making.
2.4 Portfolio Dashboard
The Portfolio Dashboard is a tool for data aggregation and visualization. After connecting your non-custodial wallet, the Interface reads publicly available information from your public address on the XRPL blockchain to display balances, asset values, and transaction history. VS1 does not gain access to your private keys and has no ability to influence your assets in any way.
3.0 No Financial Advice and Comprehensive Assumption of Risks
3.1 Disclaimer of Financial, Investment, and Legal Advice
ALL INFORMATION PROVIDED THROUGH THE INTERFACE, INCLUDING BUT NOT LIMITED TO DATA FROM THE AI ASSISTANT, IS FOR INFORMATIONAL PURPOSES ONLY. VS1 IS NOT A BROKER, FINANCIAL ADVISOR, INVESTMENT CONSULTANT, OR FIDUCIARY. NO INFORMATION PROVIDED ON THE INTERFACE CONSTITUTES OR SHOULD BE CONSIDERED AS AN OFFER, RECOMMENDATION, OR SOLICITATION TO BUY, SELL, OR HOLD ANY DIGITAL ASSETS. You are solely responsible for conducting your own research (due diligence) and making all investment decisions. We strongly recommend that you consult with qualified financial and legal professionals before making any transactions.
3.2 Specific Disclaimers Regarding the AI Assistant
The use of the AI Assistant involves unique risks that you must understand and accept. Combining an AI-based analytical tool with a financial context requires a special approach to delineating responsibility.
- No Guarantee of Accuracy: The output of the AI Assistant is generated algorithmically and may contain errors, inaccuracies, or be incomplete. We make no guarantees regarding the accuracy, reliability, completeness, or timeliness of the information provided by the AI Assistant.
- Not a Forecasting Tool: The AI Assistant does not provide accurate predictions of future market movements. Any forward-looking statements are based on historical data and models that may prove to be incorrect. Cryptocurrency markets are extremely volatile and unpredictable.
- Necessity of Human Oversight: You should not make financial decisions based solely on information obtained from the AI Assistant. You are obligated to independently verify and analyze any data before using it. The AI Assistant is a tool to supplement, not replace, your own analysis and judgment.
3.3 User's Assumption of Risks
By using the Interface, you acknowledge and unconditionally assume all risks associated with interacting with digital assets and decentralized protocols. For your convenience, a summary of the main risk categories is provided below.

3.4 Detailed Risk Disclosure
In addition to the summary table, you must understand the following risks in detail:
- Market Volatility: The price of digital assets can change dramatically and unpredictably, up to a complete loss of value. Unlike fiat currencies, the value of crypto assets is not supported by central banks or governments. The risk of loss in trading or holding crypto assets is substantial.
- Smart Contract and Protocol Risks: You are interacting with smart contracts on the XRPL, which are third-party software code. This code may contain unintentional errors or vulnerabilities that could lead to the loss of your funds. VS1 does not audit all smart contracts accessible through the Interface and is not responsible for their security.
- No Warranties: The Interface and all Services are provided on an “AS IS” and “AS AVAILABLE” basis without any express or implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Network Fees and Failed Transactions: You are solely responsible for paying all transaction fees on the XRPL network. These fees are non-refundable, even if your transaction is not successfully completed due to network congestion or other reasons.
- Regulatory Uncertainty: The legal status of crypto assets and decentralized finance remains uncertain in many jurisdictions. Future legislative or regulatory actions could significantly restrict or prohibit the use of the Interface or the ownership of certain assets.
4.0 User Obligations and Prohibited Actions
4.1 User Responsibility
- Wallet Security: You are solely and fully responsible for the security of your non-custodial wallet (e.g., XUMM Wallet), including protecting your private keys, passwords, and seed phrases. VS1 never requests and does not have access to your private keys. Losing access to your wallet will result in the irreversible loss of your assets, and VS1 will not be able to assist in their recovery.
- Compliance with Legislation: You are obligated to comply with all applicable laws and regulations of your jurisdiction, including, but not limited to, tax laws. You are fully responsible for declaring and paying all taxes arising from your transactions.
- Transaction Verification: Transactions on the XRPL blockchain are irreversible. Before signing any transaction with your wallet, you are obligated to carefully check all its details, including the recipient's address, amount, and asset type. VS1 is not responsible for errors made by you when conducting transactions.
4.2 Prohibited Actions
When using the Interface, you are strictly prohibited from:
- Engaging in any illegal activity, including money laundering, terrorist financing, fraud, or creating pyramid schemes.
- Infringing on the intellectual property rights of VS1 or third parties.
- Using automated means (bots, scripts) to collect data, interact with the Interface, or create an excessive load on our infrastructure.
- Attempting to bypass security measures, hack, or disrupt the operation of the Interface.
- Providing false, inaccurate, or misleading information.
- Using the Interface to distribute malware, viruses, or phishing attacks.
- Taking any action that could damage the reputation of VS1 or other users.
5.0 Third-Party Services
5.1 XUMM Wallet
The VS1 Interface integrates with XUMM Wallet for connecting and signing transactions. XUMM Wallet is a product of a third-party developer (XRPL Labs) and is provided under its own Terms of Use and Privacy Policy. VS1 does not control and is not responsible for the security, functionality, availability, or any other aspect of XUMM Wallet's operation. Any claims related to the wallet's operation should be directed to its developers.
5.2 Other Third-Party Links and Content
The Interface may contain links to third-party websites, protocols, or resources. We provide these links solely for your convenience. VS1 does not control, endorse, or assume responsibility for the content, products, or services available on third-party resources. You acknowledge that you assume all risks associated with the use of any third-party resources.
6.0 Intellectual Property Rights
6.1 Ownership
All rights, titles, and interests in and to the Interface, including, but not limited to, the software, source code, text, graphics, logos, trademarks (including “VS1”), and other materials, are the exclusive property of VS1 and/or its licensors. These materials are protected by copyright, trademark, and other intellectual property laws.
6.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Interface solely for your personal, non-commercial purposes.
6.3 Restrictions
You are prohibited from:
- Copying, modifying, distributing, selling, leasing, or creating derivative works based on any part of the Interface.
- Reverse engineering, decompiling, or attempting to extract the source code of the Interface.
- Using any of our trademarks or brand identity without our prior written consent.
7.0 Limitation of Liability and Indemnification
7.1 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VS1, ITS DEVELOPERS, AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, ASSETS, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF: (I) YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE INTERFACE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; (III) ANY VULNERABILITY OR FAILURE OF SMART CONTRACTS OR THE XRPL PROTOCOL; (IV) UNAUTHORIZED ACCESS TO YOUR WALLET OR LOSS OF YOUR PRIVATE KEYS. THIS LIMITATION OF LIABILITY APPLIES WHETHER THE CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.
7.2 Indemnification
You agree to defend, indemnify, and hold harmless VS1 and its affiliates from any claims, suits, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (I) your use of the Interface; (II) your violation of these Terms; or (III) your violation of any law or the rights of any third party.
8.0 General Provisions
8.1 Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the jurisdiction specified by VS1. All disputes, controversies, or claims arising out of or in connection with these Terms shall be resolved through binding arbitration, not in a court of general jurisdiction.
8.2 Termination of Access
We reserve the right, at our sole discretion and without prior notice, to suspend or terminate your access to the Interface at any time and for any reason, including, but not limited to, your violation of these Terms.
8.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, this will not affect the validity and enforceability of the remaining provisions, which will remain in full force and effect.
8.4 Entire Agreement
These Terms constitute the entire and complete agreement between you and VS1 regarding the use of the Interface and supersede all prior oral or written understandings.
